ACCORDINGLY, YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY, AND YOUR CONTINUED ACCESS OR USE OF THIS SITE SHALL BE DEEMED YOUR ACCEPTANCE OF THE MODIFIED AGREEMENT.

TopDentists and its agents, affiliates, marketing partners, and suppliers assume no responsibility for any consequence relating directly or indirectly to any action or inaction you take based on the information, services, materials, or content obtained through the use of the TopDentists Site or Correspondence. The information about health care providers provided on the TopDentists Site, or in Correspondence is for informational purposes only. TopDentists receives health care provider information for this Site, and its Correspondence from many sources. TopDentists does not investigate the information about health care providers on its Site, or in Correspondence, or control the content of the posting, including the comments submitted by Site or Correspondence users. TopDentists makes no warranty of any kind, either express or implied, regarding the quality, accuracy or validity of the date and information about health care providers available from this Site or Correspondence.

TopDentists is not liable or responsible for any injuries or deaths occurring to any user of TopDentists Site or Correspondence, which may occur as a result of use of the Site or reliance on information contained therein or from the use of the services of any doctor you learn about at, or through, TopDentists.

The contents of the TopDentists Site and Correspondence

Registration Information

Upon visiting, registering as a member, or registering your email address with the TopDentists Site, you will receive via electronic mail, Correspondence from TopDentists, including newsletters, other promotional materials from TopDentists, and other promotional and/or informational communications, including advertisements, from TopDentists (collectively, Correspondence). Should you desire not to receive any Correspondence from TopDentists, you may unsubscribe by clicking on the unsubscribe link within the newsletter or other correspondence.

Submitting Content

TopDentists may make certain experts or other advisors ("Experts") and certain special events ("Events") available to members or other end-users for a fee or at no cost, in TopDentists' sole discretion. Whether provided for free of for a fee, TopDentists does not represent or warrant that advice rendered or other information provided by Experts is accurate, complete or correct, and TopDentists is not responsible for any errors or omissions or for the results obtained from the use of such advice or information. Additionally, TopDentists will not be liable, directly or indirectly, if a member, visitor or other end-user of the Site is unable to receive an Event, whether free or for a fee, for any reason outside of the control of TopDentists. Members, visitors and end-users pay for and attend Events, and interact with Experts at their own risk and TopDentists does not make any representations or warranties as to the quality of member, visitor or end-user experience in connection with any Experts or Events. Indemnification

You agree to indemnify and hold TopDentists and DDC Internet, Inc. and its subsidiaries, affiliates, suppliers, officers, agents, co-branders, other partners, and employees, harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of content you submit, post to, upload or transmit through the TopDentists Site, your use of the TopDentists Site, bulletin boards, chat rooms and Correspondence, your connection to the TopDentists Site and Correspondence, your violation of the Terms and Conditions, or your violations of the rights of any person or entity.

Termination

This agreement is effective until terminated by TopDentists, at any time with or without notice. In the event of termination, you are no longer authorized to access the TopDentists Site, or the Correspondence, including, without limitation, bulletin boards and chat rooms, and the restrictions imposed on you with respect to material downloaded from the Correspondence and the TopDentists Site, the disclaimers, indemnities and limitations of liabilities set forth in this agreement, shall survive.

Modification of Terms and Conditions

Upon notice published on the TopDentists Site, or such other notice as may be given, TopDentists may amend or modify these Terms and Conditions, or impose new conditions on use, at any time. Your use of this service after such notice shall be deemed to constitute acceptance of the new Terms and Conditions.

Other

This agreement constitutes the entire agreement between TopDentists and you with respect to the subject matter contained in this agreement and supersedes all previous and contemporaneous agreements, proposals and communications, written and oral. TopDentists' failure to insist upon strict enforcement of any provision of this agreement shall not be construed as a waiver of any provision or right. This agreement shall be governed by and construed in accordance with the laws of the State of California without giving effect to any principles or conflicts of law. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect.
